VYBE Library API and Partner Terms

These terms apply to any company or developer ("Partner", "you") that uses the VYBE Library API (the "API") to bring music from VYBE into its app. The API is operated by CodeFather L.L.C-FZ, United Arab Emirates ("VYBE", "we", "us"). By requesting or using API keys you agree to these terms on behalf of your organisation and confirm you have authority to do so.

1. What the API gives you

1.1 The API gives approved partners access to tracks (audio and metadata, including artist name, credits, artwork and a link to the artist on VYBE) whose artists have switched on "Share with VYBE partner apps". You only receive tracks that are currently opted in.

1.2 Access is by approval only, for a specific app that we have approved (the "Approved App"). We may approve, limit or decline any partner or app at our discretion.

2. The license, and its limits

2.1 Subject to these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to stream opted-in tracks to users of the Approved App, inside the Approved App, during the term.

2.2 We grant only what artists granted us. Artists give VYBE a royalty-free license to share their tracks with partner apps, and VYBE pays no royalties to anyone. We pass on only those rights, and we make no warranty that they are enough for your use in every country. You are responsible for getting any other license, permit or clearance your use requires in the countries where your app is available, including any license a performing rights organisation, collecting society or other rights holder may require for public performance, communication to the public, or use in a public or commercial venue.

2.3 You receive no ownership of any track or of the API. All rights not expressly granted are reserved by VYBE and the artists.

3. What you must do

4. What you must not do

5. Data and privacy

5.1 We share only track data and the artist's public profile through the API. We never share personal data about VYBE listeners with partners.

5.2 Any personal data you collect from your own users is your responsibility. Do not send us personal data about your users in usage reports. Send totals only.

6. Fees

Access to opted-in tracks is royalty-free. If we ever charge fees for API access, higher limits or extra services, we will agree them with you in writing first.

7. Suspension and termination

7.1 We may change, limit, suspend or revoke your access, any key, or the API itself, at any time and for any reason, including if you break these terms, if an artist or rights holder complains, or if required by law. Where reasonable we will give notice.

7.2 You may stop using the API at any time. When access ends for any reason, you must stop using all tracks and remove them, including caches and stored copies, within 30 days, and confirm this to us in writing if we ask.

7.3 Sections 2.2, 2.3, 4, 5, 8, 9, 10 and 11 survive termination.

8. Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless CodeFather, its affiliates and the artists whose music you use, and their directors, officers, employees and agents, from all claims, losses, damages, fines, costs and expenses (including reasonable legal fees) arising from your Approved App, your users, your breach of these terms, your failure to get any license required under section 2.2, or any claim by a collecting society or rights holder related to your use of tracks.

9. Disclaimers and limitation of liability

9.1 The API and all tracks are provided "as is" and "as available". To the extent permitted by law, we make no warranties, express or implied, including of availability, accuracy of metadata, fitness for a particular purpose, or non-infringement, and no warranty beyond the rights artists granted to VYBE.

9.2 To the extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, users, data or goodwill. Our total liability to you for all claims under these terms is limited to the greater of the fees you paid us for the API in the 12 months before the claim and USD 100.

10. Changes

We may update these terms and the API documentation. We will give at least 30 days notice of material changes by email or in the developer dashboard, unless a shorter time is needed for legal, safety or security reasons. Using the API after a change takes effect means you accept it.

11. Governing law and general terms

11.1 These terms are governed by the laws of the Emirate of Dubai and, where applicable, the federal laws of the United Arab Emirates. The courts of Dubai have exclusive jurisdiction, except that the DIFC Courts have jurisdiction where the law gives them jurisdiction or where both parties agree in writing. We may seek urgent injunctive relief in any court with jurisdiction.

11.2 You may not assign these terms without our written consent. We may assign them to an affiliate or a successor. If any part is unenforceable, the rest stays in effect. These terms, our API documentation and any written partner agreement signed with you are the entire agreement about the API. If a signed partner agreement conflicts with these terms, the signed agreement applies.
